The opportunity
- Provide high-quality governance advice to the Board, Committees, and senior leadership, enabling effective decision-making and fulfilment of fiduciary responsibilities.
- Lead governance support services for the Members' Assembly, International Board, and Committees, ensuring effective planning, coordination of workplans, and follow-up of actions.
- Partner closely with the CEO, Chief of Staff, COO, and Executive Office to coordinate governance and management decision-making processes across the organisation.
- Develop and maintain governance frameworks, systems, policies, and procedures that promote good governance, compliance, and effective decision-making.
- Manage the planning and delivery of Board and Committee meetings, including agendas, papers, minutes, action tracking, and governance communications.
- Maintain corporate governance records and ensure compliance with legal, regulatory, and organisational requirements.
- Manage Powers of Attorney, written resolutions, and corporate authorisations, ensuring alignment with delegation frameworks and legal requirements.
- Oversee governance policies and compliance processes, including conflicts of interest, confidentiality, related-party disclosures, and other regulatory obligations.
- Provide expert guidance on governance best practice, legal requirements, and risk management across the organisation.
- Support Board and Committee effectiveness, including induction, training, guidance materials, and ongoing governance development.
About you
You will have Bachelors or Masters degree in Law and / or Corporate Governance AND / OR Associate, Fellow, or Member of the Institute of Certified Secretaries (ICS) (Kenya), Chartered Governance Institute (CGI) (UK), or other equivalent body.
You will have a solid understanding of corporate governance and experience in providing support to decision making bodies (including agenda planning, coordinating the preparation and provision of pre-read material, preparing minutes of meetings, tracking meeting actions, developing post meeting communications, and planning face-to-face multi-day meetings), working effectively across several jurisdictions.
You will bring strong corporate administration and project management skills will be imperative as will excellent relationship building skills and the highest level of diplomacy and discretion. You will need to be able to work alongside Board members, staff and senior managers.
You have excellent judgement, and an awareness and understanding of the significance of compliance and governance issues.
Location: Nairobi, Kenya preferred however other locations where Plan International has an office* that can employ on behalf of the Global Hub and you have the pre-existing right to work and live may also be considered.
